Common use of No Conflict or Violation Clause in Contracts

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHI, nor the consummation by MYHI of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ assets, including without limitation, the MYHI Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIBNOW, nor the consummation by MYHI BNOW of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI BNOW Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI BNOW is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI BNOW is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ BNOW’s assets, including without limitation, limitation the MYHI SharesBNOW SHARES.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIStaffing, nor the consummation by MYHI Staffing of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI Staffing Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Staffing is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Staffing is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Staffing’s assets, including without limitation, limitation the MYHI Staffing Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIMiT, nor the consummation by MYHI MiT of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI Charter DocumentsMiT’s Certificate of Organization or Operating Agreement; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI MiT is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI MiT is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ MiT’s assets, including without limitation, the MYHI Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHINexus, nor the consummation by MYHI Nexus of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Nexus Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Nexus is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Nexus is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Nexus’s assets, including without limitation, the MYHI Nexus Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIHDSI, nor the consummation by MYHI HDSI of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI HDSI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI HDSI is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI HDSI is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ HDSI’s assets, including without limitation, limitation the MYHI SharesHDSI Stock.

No Conflict or Violation. Neither the execution and delivery of this Agreement by the Agreements by MYHICompany, nor the consummation by MYHI the Company of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI Company Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI the Company is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI the Company is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ the Company’s assets, including without limitation, limitation the MYHI Company Shares.

Neither the execution and delivery of the Agreements by MYHIBOLD, nor the consummation by MYHI BOLD of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI BOLD Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI BOLD is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI BOLD is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ BOLD’s assets, including without limitation, the MYHI BOLD Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIByzen, nor the consummation by MYHI Byzen of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Charter DocumentsByzen charter documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Byzen is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Byzen is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Byzen’s assets, including without limitation, the MYHI Byzen Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHINLM, nor the consummation by MYHI NLM of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI NLM Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI NLM is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI NLM is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ NLM’s assets, including without limitation, the MYHI Shares.

Neither the execution and delivery of the Agreements this Agreement by MYHISource Rock, nor the consummation by MYHI Source Rock of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI Source Rock Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Source Rock is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Source Rock is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Source Rock’s assets, including without limitation, limitation the MYHI Source Rock Shares.

Neither the execution and delivery of the Agreements this Agreement by MYHIDMHI, nor the consummation by MYHI DMHI of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI DMHI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI DMHI is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI DMHI is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ DMHI’s assets, including without limitation, limitation the MYHI DMHI Shares.

Neither the execution and delivery of the Agreements by MYHITIGER, nor the consummation by MYHI TIGER of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI TIGER Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI TIGER is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI TIGER is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ TIGER’s assets, including without limitation, the MYHI TIGER Shares.

Neither the execution and delivery of the Agreements this Agreement by MYHIVAPE, nor the consummation by MYHI VAPE of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI VAPE Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI VAPE is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI VAPE is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ VAPE’s assets, including without limitation, limitation the MYHI VAPE Shares.

Neither the execution and delivery of the Agreements by MYHIRETC, nor the consummation by MYHI RETC of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI RETC Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI RETC is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI RETC is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ assetsRETC asset, including without limitation, the MYHI RETC Shares.

Neither the execution and delivery of the Agreements by MYHIISRB, nor the consummation by MYHI ISRB of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI ISRB Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI ISRB is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI ISRB is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ ISRB’s assets, including without limitation, the MYHI ISRB Shares.

Neither the execution and delivery of the Agreements this Agreement by MYHIUPAY, nor the consummation by MYHI UPAY of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI UPAY Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI UPAY is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI UPAY is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ UPAY’s assets, including without limitation, limitation the MYHI SharesUPAY shares.

Neither the execution and delivery of the Agreements by MYHIDyna, nor the consummation by MYHI Dyna of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Dyna Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Dyna is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Dyna is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Dyna’s assets, including without limitation, the MYHI Dyna Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIAPSI, nor the consummation by MYHI APSI of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI APSI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI APSI is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI APSI is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHIAPSI’ assets, including without limitation, the MYHI APSI Shares.

Neither the execution and delivery of the Agreements Agreement by MYHIthe Corporation, nor the consummation by MYHI the Corporation of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Corporation Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI the Corporation is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI the Corporation is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHIthe Corporation’ assets, including without limitation, the MYHI Corporation Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHICATQ, nor the consummation by MYHI CATQ of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI CATQ Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI CATQ is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI CATQ is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ CATQ’s assets, including without limitation, the MYHI CATQ Shares.

Neither the execution and delivery of the Agreements this Agreement by MYHITYCV, nor the consummation by MYHI TYCV of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI TYCV Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI TYCV is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI TYCV is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ TYCV’s assets, including without limitation, limitation the MYHI TYCV Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIMLWN, nor the consummation by MYHI MLWN of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI MLWN Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI MLWN is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI MLWN is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ MLWN’s assets, including without limitation, the MYHI MLWN Shares.

No Conflict or Violation. Neither the execution and delivery of the Transaction Agreements by MYHIDIA, nor the consummation by MYHI DIA of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI DIA Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI DIA is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI DIA is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ DIA’s assets, including without limitation, the MYHI DIA Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIOCLL, nor the consummation by MYHI OCLL of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI OCLL Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI OCLL is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI OCLL is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHIOCLL’ assets, including without limitation, the MYHI OCLL Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHI, nor the consummation by MYHI of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ ’s assets, including without limitation, the MYHI Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIHOMR, nor the consummation by MYHI HOMR of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI HOMR Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI HOMR is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI HOMR is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHIHOMR’ assets, including without limitation, the MYHI HOMR Shares.

No Conflict or Violation. Neither the execution and delivery of the Transaction Agreements by MYHICreative, nor the consummation by MYHI Creative of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI Creative Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Creative is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Creative is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Creative’s assets, including without limitation, the MYHI Creative Preferred Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIGMEL, nor the consummation by MYHI GMEL of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI GMEL Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI GMEL is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI GMEL is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ GMEL’s assets, including without limitation, limitation the MYHI GMEL Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIMYXY, nor the consummation by MYHI MYXY of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI MYXY Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI MYXY is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI MYXY is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ MYXY' assets, including without limitation, the MYHI MYXY Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHISVEN, nor the consummation by MYHI SVEN of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI SVEN Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI SVEN is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI SVEN is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ SVEN’s assets, including without limitation, limitation the MYHI SVEN Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIDVGG, nor the consummation by MYHI DVGG of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI DVGG Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI DVGG is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI DVGG is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHIDVGG’ assets, including without limitation, the MYHI DVGG Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIIDVC, nor the consummation by MYHI IDVC of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI IDVC Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI IDVC is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI IDVC is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ IDVC’s assets, including without limitation, limitation the MYHI IDVC Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIHDSI, nor the consummation by MYHI HDSI of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI HDSI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI HDSI is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify modifY or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI HDSI is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ HDSI's assets, including without limitation, limitation the MYHI SharesHDSI Stock.

No Conflict or Violation. Neither the execution and delivery of the Agreements by MYHIPubCo, nor the consummation by MYHI PubCo of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI PubCo Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI PubCo is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI PubCo is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ PubCo’s assets, including without limitation, the MYHI Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIEmys, nor the consummation by MYHI Emys of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI Emys Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI Emys is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Emys is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ Emys’s assets, including without limitation, limitation the MYHI Emys Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIPRTN, nor the consummation by MYHI PRTN of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI PRTN Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI PRTN is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI PRTN is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ PRTN’s assets, including without limitation, limitation the MYHI PRTN Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHICDYY, nor the consummation by MYHI CDYY of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI CDYY Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI CDYY is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI CDYY is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ CDYY’s assets, including without limitation, limitation the MYHI CDYY Shares.

Neither the execution and delivery of the Agreements by MYHIAMMO, nor the consummation by MYHI AMMO of the transactions contemplated thereby will: (i) contravene, conflict with, or violate any provision of the MYHI AMMO Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI AMMO is subject; (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI AMMO is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ AMMO's assets, including without limitation, the MYHI AMMO Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIGMV, nor the consummation by MYHI GMV of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI GMV Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI GMV is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI GMV is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ GMV’s assets, including without limitation, limitation the MYHI GMV Shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIUPAY, nor the consummation by MYHI UPAY of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI UPAY Charter Documents; : (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI UPAY is subject; , (iii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI UPAY is a party or by which it is bound, or to which any of its assets or properties are subject; or (iv) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ UPAY’s assets, including without limitation, limitation the MYHI SharesUPAY shares.

No Conflict or Violation. Neither the execution and delivery of the Agreements this Agreement by MYHIVICTORY DIVIDE, nor the consummation by MYHI VICTORY DIVIDE of the transactions contemplated thereby hereby will: (i) contravene, conflict with, or violate any provision of the MYHI Charter Documents; (ii) violate any constitution, statute, regulation, rule, injunction, judgment, order, decree, ruling, charge or other restriction of any government, governmental agency, court, administrative panel or other tribunal to which MYHI VICTORY DIVIDE is subject, or any provision of VICTORY DIVIDE’s Articles of Incorporation, as amended, or By-laws, as amended; (iiiii) conflict with, result in a breach of, constitute a default (or an event or condition which, with notice or lapse of time or both, would constitute a default) under, result in the acceleration of, create in any party the right to accelerate, terminate, modify or cancel, or require any notice under any agreement, contract, lease, license, instrument or other arrangement to which MYHI Faith Winner is a party or by which it is bound, or to which any of its assets or properties are is subject; or (iviii) result in or require the creation or imposition of any encumbrance of any nature upon or with respect to any of MYHI’ VICTORY DIVIDE’s assets, including without limitation, limitation the MYHI VICTORY DIVIDE Shares.
