Common use of No Brokers or Finders Clause in Contracts

No Brokers or Finders. No person, firm or corporation has or will have, as a result of any act or omission by the Purchaser, any right, interest or valid claim against the Seller for any commission, fee or other compensation as a finder or broker, or in any similar capacity, in connection with the transactions contemplated by this Agreement. The Purchaser will indemnify and hold the Seller harmless against any and all liability with respect to any commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the Purchaser in connection with the transactions contemplated by this Agreement.

No person, firm or corporation has or will have, as a result of any act or omission by the PurchaserSeller, any right, interest or valid claim against the Seller Purchaser for any commission, fee or other compensation as a finder or broker, or in any similar capacity, in connection with the transactions contemplated by this Agreement. The Purchaser Seller will indemnify and hold the Seller Purchaser harmless against any and all liability with respect to any commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the Purchaser Seller in connection with the transactions contemplated by this Agreement.

The Purchaser Seller will indemnify and hold the Seller Buyer harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the Purchaser in connection with the transactions contemplated by this Agreement.

The Such Purchaser will indemnify and hold harmless each of the Seller harmless Company and the Subsidiaries against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the such Purchaser in connection with the transactions contemplated by this Agreement.

The Such Purchaser will defend and indemnify and hold the Seller Company harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the such Purchaser in connection with the transactions contemplated by this Agreement.

The Purchaser Company will indemnify and hold the Seller Purchaser harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the Purchaser in connection with the transactions contemplated by this Agreement.

No personExcept as otherwise disclosed to the Purchaser, firm or corporation no person has or will have, as a result of any act or omission the transactions contemplated by the Purchaserthis Agreement, any right, interest or valid claim against or upon the Seller Purchaser for any commission, fee or other compensation as a finder or brokerbroker because of any act by the Company or of any agent of the Company. The Company will pay, and hold the Purchaser harmless against, any liability, loss or in any similar capacityexpense (including, without limitation, reasonable attorneys' fees and out-of-pocket expenses) arising in connection with the transactions contemplated by this Agreement. The Purchaser will indemnify and hold the Seller harmless against any and all liability with respect to claim for any such commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the Purchaser in connection with the transactions contemplated by this Agreementcompensation.

The Purchaser Sellers will indemnify and hold the Seller Company harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payable as a result of the actions of the Purchaser Sellers in connection with the transactions contemplated by this Agreement.
