No Brokers or Finders. No Person has, or as a result of the transactions contemplated herein will have, any right or valid claim against the Acquiree for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of the Acquiree, and the Acquiree will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and harmless against any liability or expense arising out of, or in connection with, any such claim.

No Person person has, or as a result of the transactions contemplated herein will have, any right or valid claim against the Acquiree Purchaser for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of and after the AcquireeClosing, and the Acquiree Sellers will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and Purchaser harmless against any liability or expense arising out of, or in connection with, any such claim.

No Person person has, or as a result of the transactions contemplated herein will have, any right or valid claim against the Acquiree Unical for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of the Acquiree, and the Acquiree Unical will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and IDUL harmless against any liability or expense arising out of, or in connection with, any such claim.

No Person has, or as a result of the transactions contemplated herein will have, any right or valid claim against the such Acquiree Principal Shareholders for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of the Acquiree, such Acquiree Principal Shareholders and the such Acquiree Principal Shareholders will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and Shareholderss harmless against any liability or expense arising out of, or in connection with, any such claim.

No Brokers or Finders. No Person has, or as a result of the transactions contemplated herein will have, as a result of any action or omission of Seller, any right or valid claim against the Acquiree Seller or the Shareholders for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of the Acquiree, and the Acquiree will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and harmless against any liability or expense arising out of, or in connection with, any such claim.

No Brokers or Finders. No Person has, or as a result of the transactions contemplated herein will have, any right or valid claim against the Acquiree Acquiror Company, or to the knowledge of the Acquiror Company any other Person, for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of the Acquiree, and the Acquiree will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and harmless against any liability or expense arising out of, or in connection with, any such claim.

No Brokers or Finders. No Person person has, or as a result of the transactions contemplated herein will have, any right or valid claim against the Acquiree Company for any commission, fee or other compensation as a finder or broker, or in any similar capacity, based upon arrangements made by or on behalf of the Acquiree, and the Acquiree Shareholders will indemnify and hold the Acquiror and the Acquiror Principal Shareholder and Company harmless against any liability or expense arising out of, or in connection with, any such claimclaim in accordance with Article IX.
