Common use of No Brokers; No Solicitation Clause in Contracts

No Brokers; No Solicitation. Except with respect to X. X. Xxxxxx & Co., a registered broker-dealer (CRD#: 43520), the Company has taken no action which would give rise to any claim by any person for brokerage commissions, transaction fees or similar payments relating to this Agreement or the transactions contemplated hereby. The Company acknowledges and agrees that neither the Buyer nor its employee(s), member(s), beneficial owner(s), or partner(s) solicited the Company to enter into this Agreement and consummate the transactions described in this Agreement. The Company acknowledges and agrees that the Buyer is not required to be registered as a broker-dealer under the Securities Exchange Act of 1934 in order to (i) consummate the transactions encompassed by the February 2023 Transaction Documents (as defined in this Agreement) or (ii) fulfill the Investor’s obligations under the February 2023 Transaction Documents.
