Common use of No Broker Clause in Contracts

No Broker. None of the Company, the Operating Partnership, any of their Subsidiaries, or any of their officers, directors or employees, to the extent applicable, has entered into any agreement with any broker, finder or similar agent or any Person or firm that will result in the obligation of Owner or any of its Affiliates to pay any finder’s fee, brokerage fees or commissions or similar payment in connection with the transactions contemplated by this Agreement.

No Broker. None Neither Owner nor any of the Company, the Operating Partnership, its Subsidiaries nor any of their Subsidiariesmembers, or any of their managing members, partners, general partners, directors, officers, directors employees or employeesits Supervisor, to the extent applicable, has entered into any agreement with any broker, finder or similar agent or any Person or firm that will result in the obligation of Owner the Company, the Operating Partnership or any of its their Affiliates to pay any finder’s fee, brokerage fees or commissions or similar payment in connection with the transactions contemplated by this Agreement.

No Broker. None of the Company, the Operating Partnership, any of their Subsidiaries, or any of their officers, directors or employees, to the extent applicable, has entered into any agreement with any broker, finder or similar agent or any Person or firm that will result in the obligation of Owner Contributor or any of its Affiliates to pay any finder’s fee, brokerage fees or commissions or similar payment in connection with the transactions contemplated by this Agreement.

No Broker. None of the Company, the Operating Partnership, any of their Subsidiaries, or any of their officers, directors or employees, to the extent applicable, has entered into any agreement with any broker, finder or similar agent or any Person or firm that will result in the obligation of Owner any Helmsley Group Member or any of its their Affiliates to pay any finder’s fee, brokerage fees or commissions or similar payment in connection with the transactions contemplated by this AgreementAgreement or engaged in any general solicitation within the meaning of Rule 502 under the Act.

None of Neither the Company, the Operating Partnership, Management Company nor any of their Subsidiariesits members, managers, officers or any of their officers, directors or employees, to the extent applicable, employees has entered into any agreement with any broker, finder or similar agent or any Person or firm that will result in the obligation of Owner the Company, the Operating Partnership or any of its their Affiliates to pay any finder’s fee, brokerage fees or commissions or similar payment in connection with the transactions contemplated by this Agreement.
