Common use of No Broker Clause in Contracts

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrower.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Seller in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Seller or any action taken by Borrowerthe Seller.

No broker, broker or finder, or other party or agent performing similar functions, has been retained by Seller or similar intermediary has acted for is entitled to be paid based upon any agreements, arrangements, or on behalf of Borrower understandings made by Seller in connection with this Agreement or the transactions transaction contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar brokerage fee or other commission in connection therewith based has been agreed to be paid by Seller on any agreement, arrangement or understanding with Borrower or any action taken by Borroweraccount of such transaction.

No broker, finder, agent finder or similar intermediary has acted for or on behalf of Borrower in connection with this Agreement Buyer or the transactions contemplated herebyany Affiliate of Buyer, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission based on arrangements made by Buyer or its Affiliates in connection therewith based on any agreement, arrangement with this Agreement or understanding with Borrower or any action taken by Borrowerthe transactions contemplated hereby.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer or any action taken by Borrower.Buyer. Buyer shall fully discharge all obligations to brokers or finders engaged by Buyer to raise capital to consummate the transactions which are the subject of his Agreement. ARTICLE 5

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Company in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerthe Company.

No broker, finder, agent or similar other intermediary has acted for or on behalf of Borrower the Seller or otherwise assisted in connection with this Agreement or bringing about the transactions contemplated hereby, by this Agreement and no broker, finder, agent or similar other intermediary is entitled to any broker’s, commission or finder’s fee in respect thereof based in any way on agreements, understandings or similar fee arrangements with or the conduct of the Seller. The Seller agrees to indemnify the Buyer for any claims brought by any broker, finder or other commission agent claiming to have acted on behalf of the Seller in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerthis sale.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer or any action taken by BorrowerBuyer.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower any of the Sellers in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower any Seller or any action taken by Borrowereither of them.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Purchaser or IHS Sub in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s, agent’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Purchaser or IHS Sub or any action taken by Borrowerthe Purchaser or IHS Sub.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s’s fee, finder’s fee, or similar fee or other commission for which either Seller will be liable in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer or any action taken by BorrowerBuyer.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer, PISA or SAAF in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer, PISA or SAAF or any action taken by Borrowerany of them.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Seller or the Shareholders in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or agent, similar intermediary or other Person is entitled to any broker’s, finder’s ’s, or similar fee or fee, other commission or payment in connection therewith based on any agreement, arrangement or understanding with Borrower Seller or the Shareholders or any action taken by BorrowerSeller or the Shareholders.

No broker, finder, finder or agent or similar intermediary has acted for or on behalf of Borrower Purchaser in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith with this Agreement based on any an agreement, or arrangement or understanding with Borrower Purchaser or any action taken by Borrowereither of Purchaser.

No broker, finder, agent or similar intermediary has acted for or on Seller’s behalf of Borrower in connection with this Agreement or the transactions contemplated hereby, hereby and there are no broker, finder, agent or similar intermediary is entitled to any broker’sbrokerage commissions, finder’s fees or similar fee fees or other commission commissions payable by Seller in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowertherewith.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Company in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's fee, finder’s 's fee, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Company or any action taken by Borrowerthe Company.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s’s fee, finder’s fee, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer or any action taken by BorrowerBuyer.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower a Seller in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowera Seller.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Buyers or any action taken by Borrowerthe Buyer.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower a Purchaser in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowera Purchaser.

No Broker. No broker, finder, agent finder or similar intermediary has acted for or on behalf of Borrower in connection with this Agreement such Seller or the transactions contemplated herebyany Affiliate of any Seller, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission based on arrangements made by such Seller or its Affiliates in connection therewith based on any agreement, arrangement with this Agreement or understanding with Borrower or any action taken by Borrowerthe transactions contemplated hereby.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Investors in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement contract or understanding other agreement with Borrower the Investors or any action taken by Borrowerthe Investors.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Purchased Companies in connection with this Agreement or the transactions contemplated herebyContemplated Transactions, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerof the Purchased Companies.

No Broker. No broker, finder, agent or similar other intermediary has acted for or on behalf of Borrower Seller or otherwise assisted in connection with this Agreement or bringing about the transactions contemplated hereby, by this Agreement and no broker, finder, agent or similar other intermediary is entitled to any broker’s, commission or finder’s fee in respect thereof based in any way on agreements, understandings or similar fee arrangements with or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerthe conduct of Seller.

No Broker. No That no broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled with entitlement to any broker’sbrokers, finder’s finders, agents or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerthis Agreement.

No Broker. No broker, finder, agent finder or similar intermediary has acted for for, or on behalf of, the Company or any Seller or any of Borrower their respective Affiliates in connection with this Agreement or the transactions contemplated herebyTransactions, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Company or any action taken by BorrowerSeller or any of their respective Affiliates nor otherwise as a result of the Company’s or any Seller’s actions.
