Common use of No Breach of Law or Agreement Clause in Contracts

No Breach of Law or Agreement. None of the execution or delivery of the Grant Documents and other instrument, agreement and document executed and delivered, or to be executed or delivered, pursuant to this Agreement, or the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, or agency whatsoever binding on the Recipient or any provision of the organizational documents of the Recipient, will conflict with or constitute a breach of or a default under any agreement to which Recipient is a party, or will result in the creation or imposition of any lien upon the Property of Recipient, other than liens approved by the Department.

No Breach of Law or Agreement. None of Neither the execution or nor delivery of this Agreement and the Grant Loan Documents and or of any other instrument, agreement and document documents or instruments executed and delivered, or to be executed or delivered, pursuant to this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will conflict with or constitute a breach of or a default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property any assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.

None of Neither the execution or nor delivery of this Agreement and the Grant other County Loan Documents and or any other instrument, agreement and document documents or instruments executed and delivered, or to be executed or delivered, pursuant to this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will materially conflict with or constitute a material breach of or a material default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.

None of the execution or delivery of the Grant Loan Documents and other instrument, agreement and or of any document or instrument executed and delivered, or to be executed or delivered, pursuant to this Development Agreement, or the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower or any provision of the organizational documents of the RecipientBorrower, will conflict with or constitute a breach of or a default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property any assets or property of RecipientBorrower, other than liens approved by the Department.

None of Neither the execution or nor delivery of this Agreement and the Grant other Amended and Restated Loan Documents and or any other instrument, agreement and document documents or instruments executed and delivered, or to be executed or delivered, pursuant to this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will materially conflict with or constitute a material breach of or a material default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.

None of Neither the execution or nor delivery of this Agreement and the Grant CDBG Loan Documents and or any other instrument, agreement and document documents or instruments executed and delivered, or to be executed or delivered, pursuant to this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will materially conflict with or constitute a material breach of or a material default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.

None of Neither the execution or nor delivery of the Grant City Loan Documents and or of any other instrument, agreement and document documents or instruments executed and delivered, or to be executed or delivered, pursuant to this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will conflict with or constitute a breach of or a default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property any assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.

None of Neither the execution or nor delivery of this Agreement and the Grant other CDBG Loan Documents and or any other instrument, agreement and document documents or instruments executed and delivered, or to be executed or delivered, pursuant to this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will materially conflict with or constitute a material breach of or a material default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.

None of Neither the execution or nor delivery of the Grant Documents and this Agreement or any other instrument, agreement and document documents or instruments that have been or that will be executed and delivered, or to be executed or delivered, delivered by Borrower pursuant to or in connection with this Agreement, or nor the performance of any provision, condition, covenant or other term hereof or thereof, will conflict with or result in a breach of any statute, rule or regulation, or any judgment, decree or order of any court, board, commission, commission or agency whatsoever binding on the Recipient Borrower, or any provision of the organizational documents of the RecipientBorrower, or will conflict with or constitute a breach of or a default under any agreement to which Recipient Borrower is a party, or will result in the creation or imposition of any lien upon the Property any assets or property of RecipientBorrower, other than liens approved by the Departmentestablished pursuant hereto.
