NO ALLOCATIONS. If, for a Plan Year, there are no allocations of Employer contributions or forfeitures for any Participant (for purposes of Section 3.04 (B)(1)(b)) or for any Key Employee (for purposes of Section 3.04(B)(2)(b)), the Plan does not require any top heavy minimum allocation for the Plan Year, unless a top heavy minimum allocation applies because of the maintenance by the Employer of more than one plan.

NO ALLOCATIONS. The Partnership shall not maintain a capital account for any Holder of Series F Convertible Units. Accordingly, the Partnership shall not make any allocations to any Series F Convertible Unit of income, gains, losses or deductions.

Notwithstanding anything in this Agreement to the contrary, no allocations shall be made to the Capital Accounts of DuPont or Central Soya for any amounts contributed or distributed to DuPont or Central Soya, as the case may be, as a result of Section 3.03 of the Central Soya Contribution Agreement or Section 3.03 of the DuPont Indemnity Agreement, as the case may be.
