No Action Letters and Exemptive Orders. Section 2.19(d) of the Seller Disclosure Letter identifies each no-action letter and exemptive order issued by the SEC to any Subject Company that remains applicable to its business as conducted on the date of this Agreement. The Sellers have previously provided or otherwise made available to Apollo a true, complete and correct copy of each such no-action letter and exemptive order. Since January 1, 2014, the Subject Companies, as applicable, have complied with all terms and conditions of such no-action letters and exemptive orders necessary to rely on the relief granted thereby.
