NGC Guarantee. In consideration of the Chevron Entities' entering into Covered Contracts with the NGC Entities, NGC Corporation hereby unconditionally guarantees the performance of each Covered Contract by each NGC Entity which enters into a Covered Contract with a Chevron Entity.
