Net Proceeds Sufficient to Defease the Indenture. If Section 5.01(a)(2) applies and the City does not exercise the election to reconstruct pursuant to Section 5.01(a)(2) and the Net Proceeds are at least sufficient to Defease the Indenture, such portion of the Net Proceeds as shall be required to Defease the Indenture shall be transferred to the Trustee with directions to apply such funds to the Defeasance of the Indenture and any excess shall be retained by the City.
