Neovasc Merger Effective Time. The Neovasc Merger shall become effective on the date and at the time that the Companies Registrar provides Surviving Company II with the certificate of merger in accordance with Section 323(5) of the Israeli Companies Law (the “Neovasc Certificate of Merger”) after the Companies Registrar’s receipt from Neovasc and Merger Sub II of all required notices in accordance with Part Eight, Chapter One of the Israeli Companies Law, as set forth in Section 8.5 below. The time at which the Neovasc Merger shall become effective as aforesaid is referred to hereinafter as the “Neovasc Merger Effective Time.”
