The parties shall have received all governmental and regulatory approvals and actions reasonably necessary to consummate the transactions contemplated hereby, which are either required to be obtained prior to the Effective Date by applicable law or regulation (including, without limitation, the expiration or early termination of the applicable waiting period under the HSR Act, if any required governmental approvals or actions under foreign laws or regulations) or are necessary to prevent a Material Adverse Effect on Waltxx xxx its Subsidiaries taken as a whole.
