Necessary Governmental Approvals. Except to the extent not obviated by the Bankruptcy Court Order, the parties shall have received all approvals and actions of or by all Governmental Authorities necessary to consummate the transactions contemplated hereby, which are required to be obtained prior to the Closing by applicable Requirements of Law.

Necessary Governmental Approvals. Except to the extent not obviated by the Bankruptcy Court Order, the parties shall have received all approvals and actions of or by all Governmental Authorities that in the judgment of Buyer are necessary to consummate the transactions contemplated hereby, which are either (a) specified in Section 5.3 of the Disclosure Schedule or (b) otherwise required to be obtained prior to the Closing by applicable Requirements of LawLaw and which is material to the transactions contemplated hereby or the continued operation of the Business.
