NAME; DEBTOR LOCATION; CHANGES. Each Debtor represents the following: (i) the name of each Debtor set forth in this Agreement is the true and correct legal name of each Debtor, the list attached as Exhibit A hereto sets forth a complete and accurate statement of any trade name used within the past year for the Debtors set forth therein, and no Debtor has done business under any other trade, assumed, fictitious or any other name during such one year period; and (ii) the address of each Debtor set forth in this Agreement is each Debtor's chief executive office and the place where its business records are kept. Each Debtor will not (a) change its name, identity or organizational structure or (b) change its chief executive office, or place where its business records are kept, unless such Debtor shall have given the Secured Party at least 30 days prior written notice and shall have delivered to the Secured Party such new Uniform Commercial Code financing statements or other documentation as may be necessary or required by the Secured Party to ensure the continued perfection and priority of the security interests granted by this Agreement.
