Mutual Disclosure of Impact or Impairment. Each Party shall notify the other within two business days of any proceeding, litigation or investigation (including, without limitation, by or before any Regulatory Authority) that is threatened and would reasonably be expected to impact the subject matter of this Agreement or the ability of such Party to fulfill its respective obligations pursuant to this Agreement. Each party shall also give prompt written notice to the other of any adverse change in its business, properties, assets, operations or condition (financial or otherwise) that may impair its ability to comply with the terms of this Agreement, the Loan Program Standards, the Training Materials or Applicable Law.
