MPI Existing Collaboration Agreements. MPI hereby transfers and assigns to MBI all MPI Retained Rights under the MPI Existing Collaboration Agreements, subject to receipt of approvals and consents to such transfer and assignment from the applicable Collaborative Partners (to the extent required under the applicable MPI Existing Collaboration Agreements). MPI agrees to use its best efforts to obtain such approvals and consents as soon as reasonably practicable following the Effective Date. By accepting the transfer and assignment of MPI Retained Rights under each MPI Existing Collaboration Agreement, MBI agrees to perform all obligations, and to undertake all responsibilities, financial or otherwise, relating to the exploitation of the MPI Retained Rights.
