Modifications Not Required. Unless otherwise agreed to by the Parties or otherwise required by applicable Governmental Rules or the NERC Standards applicable to Transmission System Operators, GEM shall not be required at any time to upgrade or otherwise modify the GEM Technology; provided, however, that GEM agrees, at Customer ’s expense, to make any additions, modifications, or replacements to the GEM Technology that are requested by Customer in writing so long as such additions, modifications, or replacements are consistent with Good Utility Practice.
