Common use of Modifications/Changes Clause in Contracts

Modifications/Changes. No modification, amendment, waiver or release of any provision of this Agreement or of any right, obligation, claim or cause of action arising hereunder shall be valid or binding for any purpose unless in writing and duly executed by the party against whom same is asserted. Changes to increase or delete work may be made to this Contract only as duly authorized in writing by the WDC. All such changes, modifications and amendments will become a part of the original Contract. Consortium Administrators and/or Consortium members deviating from the requirements of the contract without a duly approved written contract modification or amendment, do so at their own risk. Notwithstanding the foregoing, changes to the Program Description (Exhibit A) or the Program Budget (Exhibit B) that do not change the total number of trainees or the award amount may be made by mutual agreement of the parties without a formal written amendment.
