MODIFICATIONS AND UPGRADES. A. Buyer may require and Seller agrees to make any Equipment modifications needed to bring the Equipment into conformance with the Purchase Spec or, in the case of performance-based pricing (if such a pricing structure has been agreed to) to meet the Expected Improvement Rate (EIR).

Q2, may, at any time, discontinue any of the Q2 Services upon providing Customer one hundred-twenty (120) days prior written notice, provided that there shall not be any material reduction in the functionality of the core elements of the Software. Q2 may discontinue any of the Q2 Services immediately upon the imposition of any regulatory, legislative, or judicial determination that the Q2 Services violate any applicable law or regulation.
