MODELDOCUMEN. To the fullest extent permitted by the laws of the State of New Jersey, and subject to subparagraph (2) below, the Professional Services Contractor (the “Indemnitor”) agrees to indemnify and hold harmless, and pay for the defense of Princeton University, its trustees, officers and employees, and any affiliated or related entities (the "Indemnitees") against all claims, loss, liability, damage, costs and expenses, including reasonable attorney’s fees, that are alleged to have occurred in whole or in part as a result of the negligent acts or omissions of the Indemnitor, its agents, consultants, employees, or representatives.
