Model Code. The Issuer has adopted a code for transactions in its securities by the Directors no less stringent than the Model Code for Securities Transactions by Directors of Listed Companies set out in the Listing Rules and such code has been and will be fully complied with in connection with the Subscription and the related transactions entered into or to be entered into pursuant to this Agreement.
