Common use of MOA Clause in Contracts

MOA. As to the MOA, Purchaser shall have (a) executed and delivered to Seller the MOA, (b) executed and/or delivered, as applicable, all Closing Documents called for to be executed and/or delivered by Purchaser under the MOA, and (c) satisfied all conditions precedent set forth in the MOA.

MOA. As to the MOA, Purchaser Seller shall have (a) executed and delivered to Seller Purchaser the MOA, (b) executed and/or delivered, as applicable, all Closing Documents called for to be executed and/or delivered by Purchaser Seller under the MOA, and (c) satisfied all conditions precedent set forth in the MOA. Purchaser shall not have terminated the MOA in accordance with the terms thereof, including termination of the MOA due to the actual, constructive, or compromised total loss of the Vessel before delivery.
