Mitigation and Settlement Sample Clauses

Mitigation and Settlement. If Lessee has expressly acknowledged responsibility under this Section 10 for the relevant Claim, Indemnitee shall take such actions to mitigate such Claim as reasonably requested by Lessee unless such mitigation would materially adversely effect such Indemnitee. Such Indemnitee shall not enter into a settlement or other compromise with respect to any Claim without the prior written consent of Lessee, which consent shall not be unreasonably withheld or delayed, unless such Indemnitee waives its right to be indemnified under this Section 11 with respect to such Claim.
