Missouri Law. This Amendment shall be governed by and construed in accordance with the substantive laws of the State of Missouri (without reference to conflict of law principles).
Missouri Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, unless otherwise pre-empted by federal law.
Missouri Law. The interpretation of this instrument and the rights and remedies of the parties hereto shall be governed by the laws of the State of Missouri.
Missouri Law. The laws of the State of Missouri shall govern the validity of this Agreement, the construction of its terms, and the interpretation of the rights and duties of the Members.
Missouri Law. It is the intention of the parties that the laws of Missouri, without reference to the choice of law principles thereof, govern the termination and validity of this Agreement, the construction of these terms and the interpretation of the rights and duties of the parties. Any litigation with respect to this Agreement shall commence in the Circuit Court for the County of Xxxxxxx, Missouri or in the U. S. District Court for the Western District of Missouri.
Missouri Law. This Agreement and the Notes are submitted for acceptance at Agent's principal place of business in St. Louis, Missouri and shall not be binding upon the Agent or the Banks or become effective until executed by the Agent and/or the Banks, as applicable, at said place of business. When so executed, this Agreement and the Notes shall be deemed to have been made at said place of business. This Agreement, the Notes and any other document delivered hereunder shall be construed in accordance with and governed by the internal laws of the State of Missouri.
Missouri Law. This Third Amendment shall be governed by and construed in accordance with the substantive laws of the State of Missouri (without reference to conflict of law principles).
Missouri Law. This Agreement shall be governed exclusively by the provisions hereof and by the laws of the State of Missouri.
