Miscellaneuous. (a) This Agreement shall be construed and enforced in accordance with and governed by the laws of the Commonwealth of Massachusetts. (b) The captions in this Agreement are included for convenience of reference only and in no way define or limit any of the provisions of this Agreement or otherwise affect their construction or effect. This Agreement may be executed simultaneously in two or more counterparts, each of which shall be deemed an original, but all of which taken together shall constitute one and the same instrument. (c) The Declaration of Trust establishing the Fund, a copy of which, together with all amendments thereto (the “Declaration”), is on file in the office of the Secretary of Commonwealth of Massachusetts, provides that the name of the Trust refers to the Trustees under the Declaration collectively as Trustees, but not as individuals or personally; and no Trustee, shareholder, officer, employee or agent of the said Trust shall be held to any personal liability, nor shall resort be had to their private property for the satisfaction of any obligation or claim or otherwise in connection with the affairs of said Trust, but the Trust assets and estate only shall be liable.
