MIP. During the Employment Period, Executive will be eligible to participate in annual awards under the Company's Management Incentive Plan (MIP). To the extent provided in Section 162(m) of the Code, the terms of any such award shall be established by the Committee. Subject to the foregoing, Executive's target award for each such award will be not less than 50% of Executive's Base Salary for the year with a maximum award opportunity of not less than 100% of such Base Salary, with the payment potential ranging from 0% to not less than 100% of such Base Salary. Payments, if any, under MIP awards under this subsection will be based on Company performance measures. To the extent the material terms of MIP are required to be approved by the shareholders of the Company, Executive's eligibility to receive annual awards under MIP for any year to which such shareholder vote pertains shall be subject to such shareholder approval.
