Minute Books and Stock Records. The Company has delivered or made available to Buyer true, correct and complete copies of (a) the minute books of the Company containing all records required to be set forth of all proceedings, consents, actions, and meetings of the shareholders and Board of Directors of the Company, including minutes of meetings for committees of the Board; and (b) all stock record books of the Company setting forth all transfers of capital stock.
