Common use of Minute Books and Stock Records Clause in Contracts

Minute Books and Stock Records. Except as set forth on Schedule 4.15, ------------------------------ ------------- (i) the minute books and stock records of the Company and each Company Subsidiary, accurate copies of which have been made available to Compass, are complete, true and correct, and (ii) in all material respects, the minute books of the Company and each Company Subsidiary contain accurate and complete records of (A) the minutes of each meeting and (B) all written consents of the board of directors and stockholders of the Company or Company Subsidiary, as applicable.
