Minute Books and Records. The minute books of the Corporation and its Subsidiaries contain full, true and correct copies of the constating documents of the Corporation or the relevant Subsidiary, as applicable, and contain copies of all minutes of all meetings and all consent resolutions of the directors (other than in respect of the Offering), committees of directors and shareholders of the Corporation or the relevant Subsidiary, as applicable, and all such meetings were duly called and properly held and all such resolutions were properly adopted except to the extent that any such failure could not reasonably be expected to have a Material Adverse Effect;
