Minimum Time Commitment. During the Employment Period, the Executive shall hold no employment outside the Company Group and shall devote substantially all of his business time, attention and skills to the performance of his duties for the Company. Minimum Time Commitment. While Consultant shall generally determine the time and circumstances in which it renders the Consulting Services consistent with the terms of this Agreement, Consultant shall be available to the Company to render Consulting Services for a minimum number of hours per weeks, as follows: (a) During the first 30 days following the Effective Date – 40 hours per week. (b) During the second 30 day period following the Effective Date – 30 hours per week. (c) During the third 30 day period following the Effective Date – 20 hours per week. (d) Following the third 30 day period following the Effective Date and continuing through the end of the Term – 8 hours per week. Should Consultant provide the Consulting Services of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ for more than the required number of days within any weekly period, the excess days shall be credited toward the minimum requirement for the following week. Consultant and the Company shall establish procedures reasonably acceptable to both to monitor the Consulting Services rendered.
Minimum Time Commitment. During the Period of Employment, the Executive shall (i) devote a substantial amount of the Executive’s business time, energy and skill to the performance of the Executive’s duties for the Company, (ii) perform such duties in a faithful, effective and efficient manner to the best of the Executive’s abilities, and (iii) hold no other employment, unless otherwise approved by AFCG’s Board of Directors. The Executive’s service on the Boards of Directors (or similar body) of other business entities is subject to the prior written approval of the manager of the Company. The Company shall have the right to require the Executive to resign from any board or similar body (including, without limitation, any association, corporate, civic or charitable board or similar body) which the Executive may then serve if the Executive’s service on such board or body interferes in any material respect with the effective discharge of the Executive’s duties and responsibilities to the Company or that any business related to such service is then in direct or indirect competition with any business of the Company or any of its Affiliates, successors or assigns.
