The Minimum Throughput Commitment at the Terminal clause establishes a contractual obligation for a party, typically the user or customer, to move a specified minimum volume of goods or materials through a terminal facility within a defined period. This commitment is often measured in units such as tons, barrels, or containers per month or year, and may include provisions for penalties or fees if the minimum is not met. Minimum Throughput Commitment at the Terminal. During each Contract Quarter during the Term and subject to the terms and conditions of this Agreement, Refining agrees that, commencing on the Effective Date, Refining shall throughput at least the Minimum Throughput Commitment at the Terminal, and Logistics shall make available to Refining dedicated capacity at the Terminal, at all times sufficient to allow Refining to throughput the Minimum Throughput Capacity at the Terminal. Allocation of capacity for Materials of different types at the Terminal shall be in accordance with practices as of the Effective Date, or as otherwise may be agreed between the Parties from time to time.
