Minimum Requirement. During each Contract Year, Client shall purchase the minimum number of units of Product (“Minimum Requirement”) set forth on Exhibit B. If Client does not purchase such Minimum Requirement during any Contract Year, within thirty (30) days after the end of such Contract Year, Client shall pay Catalent the difference between (A) the total amount Client would have paid to Catalent during the just-concluded Contract Year if the Minimum Requirement had been fulfilled for the Product and (B) the sum of all purchases from Catalent for the Product during the just-concluded Contract Year.
Minimum Requirement. The plan shall be considered in compliance with this requirement as long as the procedures are effectively being utilized by the plan on an ongoing basis. The plan shall demonstrate compliance with all related NHC policy and procedure, The Department will not unreasonably withhold approval, and shall work with the plan to meet this requirement.
Minimum Requirement. During each Contract Year, Reliant shall purchase the minimum dollar volume of Product (the “Minimum Requirement”) set forth on Exhibit B. If Reliant does not purchase such Minimum Requirement during any Contract Year, within thirty (30) days after the end of such Contract Year and upon receipt of an invoice from Cardinal Health, Reliant shall pay Cardinal Health the difference between (A) the Minimum Requirement and (B) the sum of all purchases from Cardinal Health for the Product during the just concluded Contract Year.
Minimum Requirement. During each Contract Year, Palatin (or its Affiliates or licensees) shall purchase the minimum number of units of Product set out on Attachment D (“Minimum Requirement”). If during any Contract Year Palatin purchases a number of units of Product that is less than the Minimum Requirement (the difference, a “Purchase Shortfall”), then within [***] after the end of such Contract Year, Palatin shall pay Catalent an amount equal to [***].
Minimum Requirement. Borrower recognizes that the requirements imposed upon Borrower hereunder, including, without limitation, insurance requirements, are minimum requirements as determined by Lender and do not constitute a representation that the requirements are complete or adequate. Borrower understands that it is Borrower’s duty and responsibility to act prudently and responsibly at all times for Borrower’s protection and for the protection of the Premises.
Minimum Requirement. (i) The Purchase Price has been determined based on the volume and quality of LPG inventory at the Brownsville Terminal Site and in the storage operated by Seller, or its Affiliates at its Matamoros Terminal Site or the respective Pipeline Assets between Matamoros, Mexico and the Brownsville Terminal Site. Such LPG inventory should be no less than the minimum levels and standards for LPG inventory as set forth on Schedule 6.3(d)(i) (the “Minimum Requirement”).
Minimum Requirement. This Agreement and the distribution of funds to Participating Claimants are conditioned upon:
Minimum Requirement. The Seller and the Purchaser anticipate that it will take approximately 12 months to obtain approvals or qualifications to sell the Products in the various countries or places within the Regions. Therefore, the Purchaser shall not be required to purchase the Minimum Requirement during the first year of the Initial Term. Beginning with the second year of the Initial Term, the Purchaser shall purchase from the Seller and the Seller shall supply to the Purchaser, on a monthly basis, at least one container lot of each of the Products per Region. One container lot shall be equal to seventy-two 55 gallon drums.
Minimum Requirement. Upon regulatory approval of the NC Facility, Cubist shall order a minimum of []* of Product to be Processed (“Minimum Requirement”) during []* commencing on []* and Cardinal Health shall accept Cubist’s Purchase Orders including such minimum number of units and shall Process and Deliver at least such minimum number of units according to such Purchase Orders. Notwithstanding the foregoing, Cardinal Health may propose alternative delivery date(s) that are within []* of what is requested in Cubist’s Purchase Order in order to permit Cardinal Health to manage its available manufacturing capacity in respect of commitments previously made to its clients; in such cases, the parties shall reasonably agree to the revised delivery date(s). The Minimum Requirement shall be pro-rated in any partial []*. If Cubist does not order such Minimum Requirement during []*, within []* after the end of []*, Cubist shall pay Cardinal Health the difference between []*. Notwithstanding anything herein to the contrary, if at any time during the initial term but following the first []* batches of Product produced under this Agreement, if Cubist appropriately rejects Product due to Cardinal Health’s breach of its obligations hereunder to provide Product conforming to the Specifications and Applicable Laws []* or more times in []*, Cubist shall have the right, at Cubist’s sole discretion, to withdraw any or all Purchase Orders which have been submitted at the time of []*, and any remaining Minimum Requirement during the Term shall no longer apply.
Minimum Requirement. During each Contract Year, Client shall purchase the minimum number of units of Product set forth on Attachment C (“Minimum Requirement”) and Catalent shall ensure its capacity to Process no fewer than the number of units of Product set forth on Attachment C (the “Minimum Capacity”). If Client does not purchase such Minimum Requirement during any Contract Year, then Client shall make the minimum shortfall unit pricing payments in respect of such Minimum Requirement as contemplated in Attachment C.
