Minimum Network Requirements Sample Clauses
The Minimum Network Requirements clause sets out the baseline technical standards that a network must meet for a service or product to function properly. Typically, this clause details specifications such as bandwidth, latency, hardware, or software prerequisites that the customer’s network infrastructure must satisfy. By clearly defining these requirements, the clause ensures that both parties understand the necessary conditions for optimal performance, thereby reducing disputes related to service quality or failures caused by inadequate network setups.

Minimum Network Requirements. In the event that, prior to the Closing, one (1) or more Providers provide notice of the termination (each, a “Terminating Provider”) of any Provider Contract in accordance with its terms (each, a “Provider Contract Termination”) and, individually or in the aggregate, such Provider Contract Terminations would reasonably be expected to result in Buyer’s failure to satisfy the Minimum Network Requirements (a “Network Failure”), then, prior to the Closing, Affinity shall use its commercially reasonable efforts to assist Buyer in obtaining a direct contract on terms reasonably satisfactory to Buyer with such Terminating Providers that Buyer requests. If a contract is unattainable with a Terminating Provider, then upon the request of Buyer, Affinity shall use its commercially reasonable efforts to identify and contract with (either directly or through its Affiliates) or assist Buyer to contract with alternate Provider(s) as soon as reasonably practicable as necessary to avoid a Network Failure.
Minimum Network Requirements. The Parties have agreed to the covenant set forth in Section 7.16 of the Seller Disclosure Schedule.
Minimum Network Requirements. Subrecipient acknowledges and agrees that the Project must, upon completion, reliably achieve a minimum network requirement of 100 Mbps down and 100 Mbps up, unless it is impracticable to build to such speeds due to excessive cost, geography, or topography of the area to be served by the project. To receive an exemption from this requirement, the Subrecipient must obtain a certification from the contracted Internet Service Provider (ISP) vendor describing the circumstances preventing the ISP from achieving such speeds, which must be approved by the Subrecipient and the County in writing. The certification and the associated approvals shall be attached to this contract will be incorporated by reference. In the event that a certification has been submitted to and approved by the Subrecipient and the County, a network that reliably meets or exceeds 100 Mbps download and at least 20 Mbps upload speeds, and is scalable to a minimum of 100 Mbps symmetrical for download and upload speeds based on future technology advances, will be accepted.
