Common use of Minimum Loss Clause in Contracts

Minimum Loss. Except as provided in Section 8.8, the Parent Indemnified Persons shall not be entitled to be indemnified for Losses pursuant to Section 8.2 unless and until the aggregate amount of all such Losses exceeds Three Hundred Thousand Dollars ($300,000) (the “Minimum Loss”) and otherwise satisfy all other requirements under this Section 8.4. After the Minimum Loss is exceeded, Parent Indemnified Persons shall be entitled to be paid the entire amount of any Losses pursuant to Section 8.2 in excess of (but not including) the Minimum Loss, subject to the limitations on recovery and recourse set forth in this Agreement.
