MIDNIGHT Clause Samples
The "MIDNIGHT" clause defines the precise moment when a particular day ends for the purposes of the agreement, typically setting midnight as the cutoff time. In practice, this clause clarifies whether obligations, deadlines, or rights that are due on a given date must be fulfilled by 11:59 PM or if they extend into the following day. By establishing a clear endpoint for daily time periods, the clause prevents ambiguity and potential disputes over when contractual actions must be completed.
