Method of Certifying Certain Conditions. The request for, and acceptance of, each Loan and each Letter of Credit by the Company shall be deemed a representation and warranty by the Company that the conditions specified in Subsections 5.2.1 (No Default), 5.2.3 (Representations and Warranties), 5.2.4 (Material Adverse Change), 5.2.5 (Material Adverse Effect) and 5.2.6 (Senior Subordinated Notes) have been satisfied.
