Common use of Merger or Consolidation of Any Servicer Clause in Contracts

Merger or Consolidation of Any Servicer. (a) Each Servicer shall keep in full force and effect its existence, rights and franchises as a limited partnership, an association or corporation under the laws of the state of its organization except as permitted in this Section 3.04 and shall obtain and preserve its qualification to do business in each jurisdiction in which such qualification is or shall be necessary to protect the validity and enforceability of this Agreement or any of the Mortgage Loans and to perform its duties under this Agreement.

(a) Each Servicer shall keep in full force and effect its existence, rights and franchises as a limited partnership, an association or corporation under the laws governing its charter or articles of the state of its organization incorporation except as permitted in this Section 3.04 and shall obtain and preserve its qualification to do business as a foreign corporation in each jurisdiction in which such qualification is or shall be necessary to protect the validity and enforceability of this Agreement Agreement, or any of the Mortgage Loans and to perform its duties under this Agreement.
