Merger Implementation Agreement. If the Merger Implementation Agreement is terminated in accordance with its terms prior to 8.00am on the Second Court Date, SPI and EXG are each immediately released from:
(a) any further obligation to take steps to implement the Scheme; and
(b) any liability with respect to the Scheme, provided that SPI and EXG will retain the rights they have against each other in respect of any prior breach of the Merger Implementation Agreement in accordance with the terms of that agreement.
