Merchant Consignment Goods. (6) any additional inventory that was on-order by the Debtors prior to the Sale Commencement Date or other product designated for the Debtors that is acquired by Agent in connection with the Agreement; (7) return to vendor merchandise; (9) Bulk Merchandise; (10) skus with a retail value of $0.00 (11) #3 Ecommerce Inventory; and (12) 99 Aged Inventory NEJ ((1) through (12), collectively, “Excluded Goods”). As used in this Agreement the following terms have the respective meanings set forth below:
Merchant Consignment Goods. (b) As used in this Agreement the following terms not elsewhere defined herein shall have the respective meanings set forth below: Defective Merchandise means any item of Store Merchandise or DC/On Order Merchandise with minor damage or defects but which nevertheless is still suitable, saleable, and usable for its intended purpose. Agent shall identify and advise the Merchant of its findings with respect to the existence Defective Merchandise as soon as practicable following the Sale Commencement Date (but in no event later than 30 days after the Sale Commencement Date).

  • Direct Consignment A good will retain its originating status as determined under Article 2 (Originating Goods) if the following conditions have been met:

All accounts payable and notes payable of Emergent and its Subsidiaries arose in bona fide arm’s length transactions in the Ordinary Course of Business and with Persons who are not Affiliates of Emergent or any of its Subsidiaries, and no such account payable or note payable is materially delinquent in its payment.

  • Promissory Notes and Tangible Chattel Paper If the Debtor shall at any time hold or acquire any promissory notes or tangible chattel paper, the Debtor shall forthwith endorse, assign and deliver the same to the Secured Party, accompanied by such instruments of transfer or assignment duly executed in blank as the Secured Party may from time to time specify.

  • Accounts Receivable All accounts receivable of the Acquired Companies that are reflected on the Balance Sheet or the Interim Balance Sheet or on the accounting records of the Acquired Companies as of the Closing Date (collectively, the "Accounts Receivable") represent or will represent valid obligations arising from sales actually made or services actually performed in the Ordinary Course of Business.   • Warehouse Receipts Non-Negotiable If any warehouse receipt or receipt in the nature of a warehouse receipt is issued in respect of any of the Collateral, agree that such warehouse receipt or receipt in the nature thereof shall not be “negotiable” (as such term is used in Section 7-104 of the UCC) unless such warehouse receipt or receipt in the nature thereof is delivered to Secured Party.
