Memorandum of Contract Clause Samples

A Memorandum of Contract clause serves to formally record the existence and essential terms of a contract between parties, often in a summarized format. This clause typically outlines the key details such as the parties involved, the subject matter, and any critical dates or obligations, and may be used to provide notice to third parties, such as by recording it in public records. Its core practical function is to provide a concise, official summary of the agreement, which helps prevent disputes over the contract’s existence or terms and can protect the parties’ interests, especially in real estate or other transactions where public notice is important.
