Member’s Account Clause Samples
Member’s Account. The aggregate amount of Distribution Points automatically booked and maintained in Register of Members for each Member shall be deemed as and construed to be such Member's capital account determined and maintained in the manner set forth in Treasury Regulation 1.704-1(b)(2)(iv), which consists of:
(1) the Member's initial capital contribution (i.e. Paid Value of the Shares in exchange of such contribution) multiply the specific Distribution Weight of the Share concerned;
(2) increased by any additional capital contribution made by the Member (i.e. Paid Value of the Shares in exchange of such additional contribution) multiply the specific Distribution Weight of the Shares concerned; and
(3) decreased by Paid Value of any Shares transferred by the Member as Shareholder multiply the specific Distribution Weight of the Shares concerned.
Member’s Account. Except as otherwise provided by law, You will indemnify Credit Union and hold it harmless for any loss or expense caused by any person with the apparent authority to access the Services. You agree to provide each Authorized User a copy of these terms in connection with their use of the Services. The Credit Union may elect to verify the authenticity or content of any transmission by placing a call to any authorized singer on Your Account at Our discretion. We may deny Your access to the Services without prior notice if We are unable to confirm any person’s authority to access the Services or if We believe such action is necessary for security reasons.
Member’s Account. A capital account shall be maintained for the Member in accordance with the Regulations.
Member’s Account. PASSWORD AND SECURITY Members receive a user name, password and account designation upon registration. You and members of your household are the only authorized users of your ISP account and must comply with this Agreement. You must keep your password confidential so that no one else may access the Service through your account. You must notify ISP within 24 hours of discovering any unauthorized use of your account. Usernames, passwords and email addresses are ISP’s property and ISP may alter or replace them at any time.
Member’s Account. The Managers shall maintain separate capital and distribution accounts for Member. Member’s capital account shall be determined and maintained in the manner set forth in Treasury Regulation 1.704-I(b)(2)(iv) and shall consist of Member’s initial capital contribution increased by:
a. any additional capital contribution made by Member; plus
b. credit balances transferred from Member’s distribution account to its capital account; and decreased by:
c. distributions to Member in reduction of Company capital; and
d. Company losses if charged to Member’s capital account.
Member’s Account. When Member registers for our Service, Member will establish a username/artist name and password that will provide access to an online user dashboard for Members account on the Site. Member will be solely responsible for any Recordings and other content uploaded and for all financial transactions and other activity conducted through Member’s account. Member will not be able to change the Artist Name associated with the account after the account is created.

Member’s Account. You need to register an account to access and use the functions of the Resilia Platform. Registration is only permitted to legal persons, partnerships and natural persons of legal age. By registering an account, the Member declares and warrants that it is a natural or legal person with all required authorizations and powers required in order to use the Resilia Platform, in accordance with the laws of the place of residence or any other applicable jurisdiction. For the registration of an account, accurate, up-to-date and complete information is required, and the User will take care to keep your account information up-to-date. You are not allowed to register more than one account or transfer your account to others. Members are responsible for maintaining the confidentiality and security of their account login credentials and are not permitted to disclose them to third parties. Members must immediately inform Resilia if there are suspicions that their credentials have been lost, stolen or their account is otherwise compromised. Members are responsible for all activities carried out within their Account on the Resilia Platform unless such activities have been carried out without their permission and the Member have acted in a diligent way (for example, reporting unauthorized use or loss of your credentials). If permitted by applicable law, Resilia may, without constituting an obligation: (i) require each Member to provide identification or other information;

By registering an account, the Merchant declares and warrants that it is not a natural or legal person who is prohibited from using the Resilia Platform, in accordance with the laws of the place of residence or any other applicable jurisdiction. For the registration of an account, accurate, up-to-date and complete information is required, and the Merchant will take care to keep your account information up-to-date. You are not allowed to register more than one account or transfer your account to others. Members are responsible for maintaining the confidentiality and security of their account login credentials and are not permitted to disclose them to third parties. Members must immediately inform Resilia if there are suspicions that their credentials have been lost, stolen or their account is otherwise compromised. Members are responsible for all activities carried out within their Account on the Platform unless such activities have been carried out without their permission and the Member is otherwise negligent (for example, not reporting unauthorized use or loss of your credentials). If permitted by applicable law, Resilia may, without constituting an obligation: (i) require each Member to provide identification or other information; (ii) carry out checks to verify the identity or personal background of each Member; (iii) compare with third-party databases or other sources and request reports from service providers; and (iv) obtain reports from criminal records or records of sexual offences or their local equivalents.
Member’s Account. All Members of the Service shall receive a password and an account. Members are entirely responsible for any and all activities which occur under their account whether authorized or not authorized. Member agrees to notify Two Beer Dudes of any unauthorized use of Member’s account or any other breach of security known or should be known to the Member. Member’s right to use the Service is personal to the Member. Member agrees not to resell or make any commercial use of the Service without the express written consent of Two Beer Dudes.
