The Member Agent clause designates a specific individual or entity to act on behalf of a member or group of members within an organization or agreement. This agent is typically authorized to make decisions, sign documents, or communicate with third parties as a representative of the member(s). By clearly identifying who holds this authority, the clause streamlines interactions and ensures that actions taken by the agent are binding on the member(s), thereby reducing confusion and facilitating efficient management of responsibilities.
Member Agent. Member Agent has been duly appointed as agent for each Member, with power to act for and on behalf of the Members with respect to the Escrow Agreement, Article VIII and Sections 1.11 and 1.12. Member Agent is authorized to (a) give and receive notices and communications, (b) authorize delivery to Buyer of monies from the Escrow Fund in satisfaction of claims made by Buyer, (c) deliver notices of objection, (d) agree to, negotiate, enter into settlements and compromises of, and demand arbitration and comply with orders of courts and awards of arbitrators with respect to such claims, and (e) take all actions necessary or appropriate in the judgment of Member Agent to carry out his responsibilities, exercise his authority and represent the interests of the Members. Notices or communications to or from Member Agent will constitute notice to or from each of the Members.
Member Agent. The term “Member Agent” shall mean M▇▇▇▇▇▇ ▇. ▇▇▇▇.
Member Agent. By signing this Contract, Member Agent agrees to represent and act as ▇▇▇▇▇’s Agent within the scope of this Contract. As Buyer’s Agent, Member Agent ▇▇▇▇ to Buyer the following duties: dealing honestly and fairly; loyalty; confidentiality; obedience; full disclosure; accounting for all funds; and skill, care and diligence in the transaction. ▇▇▇▇▇ is responsible for making all offers thru Member Agent to Listing Agent.
Member Agent. Such Shareholder does not now nor will he have at any time during the Restricted Period any engagement letter, agreement or other arrangement with Member Agent (as defined in the Merger Agreement) for legal representation of the such Shareholder. For purposes of clarification, legal representation as used in this context does not include escrow services provided by Member Agent.
