Common use of Melrose Clause in Contracts

Melrose. shall promptly upon request by Elster (whether for itself or any of its subsidiaries): 4.11.1 send any notice in connection with an Ancillary Facility (including for the establishment of an Ancillary Facility in accordance with the terms of the New Facilities Agreement) requested by Elster to the Agent (as defined in the New Facilities Agreement), and must not send any such notice unless being so requested; and 4.11.2 deliver any Accession Letter (as defined in the New Facilities Agreement) relating to Elster or any of its subsidiaries to the Agent (subject to 4.4.3 above), and must not send any such Accession Letter unless being so requested.
