MEI. Maxtor acknowledges that MKE is a subsidiary of MEI which is a manufacturer of products which may be competitive with the Products and that MEI and its subsidiaries other than MKE may now have or will have under development products which are competitive with the Products.
MEI. MEI shall make available MEI’s, its Affiliates’ and its Sublicensee’s material Regulatory Data and material Regulatory Materials to KKC, its Affiliates, and its Sublicensees, for no additional consideration, for use solely in the Development, Manufacturing, Packaging, and Commercialization of the Compound and the Products in the Field in the Territory. MEI shall ensure that all Sublicensees of MEI shall be required to provide such material Regulatory Data and material Regulatory Materials to MEI for use by KKC. (ii) KKC. KKC shall make available KKC’s, its Affiliates’, and its Sublicensees’ material Regulatory Data and material Regulatory Materials to MEI, its Affiliates, and Sublicensees, for no additional consideration, for use solely in the Development, Manufacturing, Packaging, and Commercialization of the Compound and the Products. KKC shall ensure that all Sublicensees of KKC shall be required to provide such material Regulatory Data and material Regulatory Materials to KKC for use by MEI.
