Common use of Material Vendors Clause in Contracts

Material Vendors. The Contributors’ Representative has made available to the Company a list of the 10 largest vendors (by aggregate spend) of Vanguard (the “Material Vendors”), for the fiscal year ended December 31, 2024, and the [five]-month period ending [June 30], 2025. No Material Vendor has, in the last 12 months, threatened in writing to cancel, materially and adversely modify, or otherwise terminate the relationship or business relations of such Material Vendor with Vanguard.
