Common use of Material Statements Clause in Contracts

Material Statements. Except as would not reasonably be expected to result in a Material Adverse Effect, no Loan Party or any of their Subsidiaries, or any officer, affiliate, employee or agent of any Loan Party or any of their Subsidiaries, has made an untrue statement of a material fact or fraudulent statement to any Governmental Authority, failed to disclose a material fact required to any Governmental Authority, or committed an act, made a statement, or failed to make a statement that, at the time such disclosure was made, would reasonably be expected to constitute a material violation of any Health Care Law. Except as would not reasonably be expected to result in a Material Adverse Effect, no Loan Party or any of their Subsidiaries, or any officer, affiliate, employee or agent of any Loan Party or any of their Subsidiaries, has made any untrue statement of material fact regarding claims incurred but not reported.
