Common use of Material Omissions Clause in Contracts

Material Omissions. No representation or warranty by Seller in this Agreement, any of the Ancillary Agreements, or any written statement, certificate or schedule furnished to or to be furnished by Seller to Buyer pursuant to this Agreement or in connection with the transactions contemplated herein, contains or will contain any untrue statement of material fact or omits or will omit a material fact necessary to make the statements contained herein or therein not misleading in light of the circumstances.

Material Omissions. No representation or warranty by any Seller in this Agreement, any of the Ancillary Agreements, or Agreement nor any written statement, certificate or schedule furnished to or to be furnished by any Seller to Buyer Purchaser pursuant to this Agreement or in connection with the transactions contemplated herein, contains or will contain any untrue statement of material fact or omits or will omit a material fact necessary to make the statements contained herein or therein not misleading in light of the circumstances.
