Common use of Material Misstatements Clause in Contracts

Material Misstatements. No information relating to or concerning the Company set forth in this Agreement or in the Memorandum contains an untrue statement of a material fact or omits to state a material fact necessary in order to make the statements made herein and therein, in light of the circumstances under which they were made, not misleading. Except for the execution and performance of this Agreement and the transactions contemplated hereby, no material fact (within the meaning of the federal securities laws of the United States of America) exists with respect to the Company which has not been publicly disclosed, except to the extent not required to be disclosed pursuant to the applicable rules and regulations of the SEC.
