Material Governmental Approvals Clause Samples
Material Governmental Approvals. The Parties will use commercially reasonable efforts to obtain any material Governmental Approvals required by the transactions contemplated by this Agreement.
Material Governmental Approvals. There are no Material Governmental Approvals required (i) in connection with the execution, delivery or performance by any of the Loan Parties of any of the Material Agreements, (ii) to own, operate or lease the Real Property, or (iii) to operate the business of any Loan Party or any Subsidiary of any Loan Party in the ordinary course (including with respect to activities related to Timber harvesting, building, zoning, sub-division, wildlife protection, mining, drilling, extraction or reclamation with respect to the Real Property referred to in the Material Agreements). No Loan Party or Subsidiary of any Loan Party has failed to obtain any Material Governmental Approval or is in violation of any Material Governmental Approval.
Material Governmental Approvals. No later than December 31, 2012, Seller shall have received the Material Governmental Approvals, which shall be final and non- appealable and shall not include any conditions or requirements that are not acceptable to Seller in its reasonable discretion.
Material Governmental Approvals. Attached at Annex III hereto are true and correct copies of the Material Governmental Approvals that are required to be delivered pursuant to clause (c) of Section 5.1.16 of the Credit Agreement.
